Citizens Assistant General Counsel in Johnston, Rhode Island

Description

The Citizens Bank Legal Department has an opening for an experienced, highly motivated, and results-oriented attorney with strong professional credentials to join its Corporate Transactions Legal Team. This team is made up of a group of attorneys and paralegals who advise CFG and affiliate business lines on investment banking matters, high-impact commercial engagements with service providers and vendors, mergers and acquisitions, and real estate matters.

Responsibilities:

  • This attorney will report to the Deputy General Counsel, Corporate Transactions and Capital Markets and will primarily support Citizens’ institutional investment bank, valuation firm, and other business lines engaging in complex vendor relationships.

  • This attorney’s day-to-day duties will include drafting and negotiating investment banking engagement letters, advising investment banking professionals on a wide array of securities law matters and FINRA regulations, advising Compliance and Risk departments on matters related to the institutional broker-dealer, and negotiating complex vendor agreements related to the investment bank and other business lines.

  • This attorney would also have the opportunity to advise on and support Citizens M&A transactions and real estate transactions.

  • The position will require working on matters collaboratively with other Citizens teams.

  • This attorney will be required to stay abreast of legal and other developments that could impact Citizens’ investment bank, strategic transactions and contracting practices, or that could impact the regulatory environment affecting financial services organizations more generally, and to report on those developments to senior management.

  • This attorney will be expected to advise senior management of risks from time-to-time arising in Citizens’ transactional practices and to help devise practical approaches to their mitigation.

    Required Qualifications:

  • At least 5 years’ experience within the legal department of a large financial services, investment bank, or other highly regulated company, or comparable experience at a law firm, where such individual has provided dedicated support to financial services companies, or clients in other highly regulated industry segments, including negotiating and documenting agreements with services providers.

  • An energetic, “take charge” and impactful professional presence; the ability to thoughtfully prioritize work, concurrently manage multiple matters, and effectively interact with senior management; and an abiding interest, ideally evidenced in the candidate’s career to date, in deepening professional knowledge and honing legal abilities.

  • Excellent verbal, written, and analytical abilities and advanced organizational skills, together with the ability to collaboratively work as part of a team while remaining responsible for seeing one’s own projects through to completion.

    Preferred Qualifications:

  • Knowledge of mergers & acquisitions, federal securities laws, SEC and FINRA regulations, and federal and state laws impacting financial services companies.

    Education:

  • J.D. degree and license to practice law in a U.S. jurisdiction.

  • Hours per Week: 40

  • Work Schedule: M-F
